End-User License Agreement

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User”) and NKB, Inc., a Delaware corporation (“NKB,” “we,” “us,” or “our”), governing your use of the Forge Command application and any related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not access or use the Service.

1. License Grant

Subject to the terms of this Agreement, NKB grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations. This license does not include any right to resell, sublicense, or otherwise distribute the Service to third parties.

2. Restrictions

You agree not to:

  • copy, modify, or create derivative works of the Service;
  • reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent applicable law expressly permits;
  • use the Service to violate any applicable law, regulation, or third-party right (including intellectual property and privacy rights);
  • interfere with or disrupt the integrity or performance of the Service, or any data or content it contains;
  • use the Service to send unsolicited commercial communications in violation of applicable law (including CAN-SPAM, GDPR, or CASL).

3. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account at support@nkbluv.com.

4. Third-Party Services and Data

The Service integrates with third-party services including (without limitation) QuickBooks Online (Intuit), Google Workspace (Gmail, Calendar), Amazon Selling Partner API, Plaid, OpenPhone / Quo, Anthropic, and AWS. Your use of those third-party services is governed by their respective terms. NKB is not responsible for the availability, accuracy, or security of any third-party service. You authorize NKB to access and process data from those services on your behalf solely for the purpose of providing the Service.

5. Intellectual Property

All right, title, and interest in and to the Service (including all software, designs, text, graphics, and trademarks) are and will remain the exclusive property of NKB and its licensors. Data and content that you provide to the Service remain yours; you grant NKB a limited license to process such data solely as needed to provide the Service.

6. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NKB DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NKB does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any data processed by the Service will be accurate or reliable.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NKB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF NKB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NKB’S AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED DOLLARS (US$100).

9. Termination

NKB may suspend or terminate your access to the Service at any time for any reason, including violation of this Agreement. Upon termination, your right to access the Service will immediately cease. Sections 2, 5, 7, 8, 10, and 11 will survive termination.

10. Governing Law

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or related to this Agreement will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

11. Changes to this Agreement

NKB may revise this Agreement from time to time. Material changes will be communicated by updating the “Last updated” date above and, where appropriate, by an in-app notification. Continued use of the Service after a revision constitutes acceptance of the revised Agreement.
